I have worked with, served on, and observed corporate boards first hand for over 20 years now. The bulk of my experience so far has been as General Counsel and Corporate Secretary to Public as well as Private Boards. However, I have also served as a director of various private companies over the years, which gave be tremendous insights into how to run a board, board dynamics, board composition and general board governance. The variety of companies I have worked with (start up venture capital-back firms, technology firms, established family businesses, public internet & media companies, service companies, real estate companies, banks, investment firms, etc…) also gives me a broad spectrum view of the issues that Boards face in difference industries and at different times during their corporate life cycle.
Currently, I am a director on the boards of two private companies and member of NACD. I am a member of the California Bar Association and a qualified English Solicitor (Member of Law Society of England and Wales). I have a JD & an MBA from the University of Southern California, and a BA from University of California, Berkeley. I am also an National Association of Corporate Directors (NACD) Governance Fellow.
I started this website (and a book – to be finished soon I hope!) to impart my experience and opinions on to others, so that they may learn how to be a director and serve on a board without having to go through so many headaches as I did and other directors/owners have done.
I do not intend that this website or blogs on the site impart legal advice or direction, nor should you construe any of the information on the site and my blogs to be legal advice. If you need legal advice, consult your own attorney. I am a recovering lawyer! Being freed from those fetters, now I am a Board Member and Adviser (and writer, of course). I do not provide legal counsel on this site. Thanks.
